TERMS OF SERVICE AGREEMENT

This Terms of Service Agreement (this “Agreement”) constitutes a legally binding contract between you (“Customer,” “you,” or “your”) and Atwood Car Wash LLC, located at 11740 Atwood Rd, Auburn, CA 95603, reachable by phone at 530-885-9274 (hereinafter referred to as “Atwood Car Wash” or “we”). This Agreement governs your access to and use of the services provided by Atwood Car Wash (the “Services”).
1. GENERAL TERMS
1.1 Services: Atwood Car Wash provides car wash services to its customers, including memberships granting access to such services. Additionally, Atwood Car Wash offers accounts to manage the services received. Accounts can be accessed via phone at 530-885-9274 or online services provided by Atwood Car Wash.
1.2 Membership Plans: Atwood Car Wash offers various membership plans, including:
Day Pass: A membership with a defined end date that does not automatically renew.
Autopay: A membership that automatically renews monthly.
1.3 Additional Services: Atwood Car Wash may provide additional products and services at its discretion, such as vacuums, and hand towel drying services. Availability of additional services may vary and may be subject to change without prior notice.
1.4 Agreement Acceptance: By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement. You also agree to comply with all applicable laws and regulations.
1.5 Eligibility: By using the Services, you represent and warrant that you are eighteen (18) years of age or older and have the legal capacity to enter into this Agreement. You also agree not to use the Services for any unlawful or prohibited purpose.
1.6 Use of Services: You agree to use the Services only for personal, non-commercial purposes and in accordance with this Agreement. You further agree not to use the Services in any manner that violates any applicable laws or regulations.
1.7 Access Credentials: You are responsible for keeping your access credentials (e.g., username, password) confidential and for notifying Atwood Car Wash immediately of any unauthorized access to your account.
2. VIOLATION; TERMINATION
2.1 Investigation and Remedies: Atwood Car Wash reserves the right to investigate any violations of this Agreement and to pursue any remedies available under law. This may include suspension or termination of your membership for breach of this Agreement.
2.2 Suspension or Cancellation: Atwood Car Wash may suspend or cancel your membership at its discretion, including for failure to make payments when due.
3. PAYMENT AND REFUNDS
3.1 Payment: You agree to pay the fees associated with the Services as set forth in Atwood Car Wash’s fee schedule. Payment methods may vary and will be specified at the time of purchase.
3.2 Refunds: All payments made to Atwood Car Wash are non-refundable, except as determined by Atwood Car Wash in its sole discretion.
4. MODIFICATIONS
4.1 Changes to Services: Atwood Car Wash reserves the right to modify the Services, fees, and this Agreement at any time. Modified terms will become effective upon posting, and your continued use of the Services constitutes acceptance of such modifications.
4.2 Service Discontinuation: Atwood Car Wash may modify or discontinue the Services at any time without liability.
5. UPGRADING, DOWNGRADING OR CANCELLING MEMBERSHIP
5.1 Changes to Membership: You may upgrade, downgrade, or cancel your membership at any time, subject to the terms of this Agreement.
5.2 Cancellation Procedures: To cancel your membership, you must provide written notice to Atwood Car Wash at least ten (10) days prior to the renewal date of your membership.
6. DISCLAIMER OF WARRANTIES
The Services are provided on an “as is” and “as available” basis, and Atwood Car Wash disclaims all warranties, express or implied, including but not limited to merchantability and fitness for a particular purpose.
7. LIMITATIONS OF LIABILITY
In no event shall Atwood Car Wash be liable for any consequential, incidental, punitive, exemplary, special, or indirect damages arising out of or related to this Agreement or the Services.
8. INDEMNIFICATION
You agree to indemnify and hold harmless Atwood Car Wash and its affiliates from any claims, losses, damages, liabilities, and expenses arising from your breach of this Agreement or misuse of the Services.
9. MISCELLANEOUS
9.1 Privacy Policy: By using the Services, you consent to the collection and use of your information in accordance with Atwood Car Wash’s Privacy Policy.
9.2 Governing Law: This Agreement shall be governed by the laws of the State of California without regard to its conflict of law provisions.
9.3 Arbitration: Any disputes arising under this Agreement shall be resolved through arbitration in accordance with the rules of the American Arbitration Association.
9.4 Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
9.5 Entire Agreement: This Agreement constitutes the entire agreement between you and Atwood Car Wash regarding the Services, superseding any prior agreements or understandings.
9.6 Equitable Remedies: You acknowledge that a breach of this Agreement may cause irreparable harm to Atwood Car Wash, and Atwood Car Wash may seek equitable relief in addition to other remedies available at law.
9.7 Assignment: Atwood Car Wash may assign this Agreement without your consent. You may not assign this Agreement without Atwood Car Wash’s prior written consent.
9.8 Waivers: Atwood Car Wash’s failure to enforce any provision of this Agreement shall not constitute a waiver of its right to enforce such provision in the future.
9.9 Headings: The headings in this Agreement are for convenience only and shall not affect its interpretation.

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
